Terms of Service
Last updated: October 23, 2026
1. Agreement
These Terms of Service (the “Terms”) are an agreement between you and ZQ Labs, Inc., which operates HeyScribe (“we”, “us”). They govern your use of our website, web app and related services (the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
If you install or access the Services through the Microsoft Store or another app store, the store’s own terms also apply. The store provider is not a party to these Terms and is not responsible for the Services.
2. Eligibility and accounts
You must be at least 13 years old (or the minimum age in your country), and if you are under the age of majority you must have permission from a parent or guardian. If you use the Services for an organisation, you confirm you are authorised to accept these Terms on its behalf.
You are responsible for the accuracy of your account information, for keeping your sign-in details secure, and for all activity under your account. Do not share your account in a way that avoids plan limits. Tell us promptly if you suspect unauthorised use.
3. Automatic transcription and AI output
HeyScribe uses automatic speech recognition and artificial intelligence to create transcripts, clean up text and write summaries. These results can be inaccurate, incomplete or misattributed to the wrong speaker. You are responsible for reviewing any transcript or summary before you rely on it, publish it or share it. The Services do not provide legal, medical, financial or other professional advice, and are not a substitute for certified or professional transcription, captioning or interpreting where those are required.
4. Your content
As between you and us, you own the audio, video, links and text you submit (“Input”) and the transcripts and summaries generated for you (“Output”), subject to applicable law and the rights of others. We claim no ownership of your Input or Output.
You give us a limited, worldwide, non-exclusive licence to host, process, transmit and display your Input and Output, and to send your Input to our speech recognition and AI providers, solely to provide and secure the Services and as described in our Privacy Policy. We do not use your content to train AI models.
You confirm that you have the right to submit your Input and that doing so does not violate the law or anyone’s rights. That includes getting any consent that the law requires before you record, transcribe or share other people’s voices or conversations. Laws on recording differ by country and state, and you are responsible for following them. If you send us feedback or ideas, we may use them without obligation to you.
5. Acceptable use
You may not use the Services to:
- record or transcribe people without the consent that the law requires, or to unlawfully surveil or intercept communications;
- transcribe content you do not have the right to use, or submit links to content that you are not permitted to access or copy;
- harass, threaten, defame or discriminate against anyone, or process content involving the sexual exploitation of minors;
- violate any law or the rights of others, including intellectual property and privacy rights;
- submit data that you are not allowed to transmit to us or to third-party processors because of data protection laws, confidentiality obligations, export restrictions or third-party rights;
- upload malware, probe or disrupt our systems, bypass usage limits or security controls, scrape or systematically extract the Services, run load or benchmark tests, or resell access without our permission;
- build a competing product or model by automated extraction of outputs from the Services;
- use the Services where failure could cause serious harm, such as critical infrastructure, medical devices, emergency services or military equipment.
We may remove content, limit or suspend access, or terminate accounts that we reasonably believe violate this section or create risk for us or others.
6. Plans, minutes and billing
The Services include a Free plan and paid subscription plans. The Free plan is a one-time allowance of 20 minutes in total, not a monthly allowance. Paid plans include a monthly minute allowance, shown in the app. Minutes are used when you transcribe, dictate or run a live session, and unused monthly minutes do not carry over. We may change features, limits and prices; we will give notice of changes that affect a plan you have already paid for.
Payments are processed by Stripe. Prices are shown before you pay and may exclude applicable taxes. Use the same email address as your account at checkout so that your plan is linked to it.
Automatic renewal. Paid plans are subscriptions that renew automatically at the end of each billing period (monthly or yearly, as you choose at checkout) at the price shown at purchase, until you cancel. If we change the price of a plan, we will give you at least 30 days’ notice by email or in the app before it applies to your next renewal, and you may cancel before then.
Cancelling. You can cancel at any time from Account settings in the app, or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access to the paid features until then. We do not provide partial refunds for unused time, except as described below or required by law.
7. Refunds
You can try the Free plan before you buy, so payments are generally non-refundable. As an exception, we will refund your payment for a plan if you ask within 14 days of purchase and you have not used the minutes included with the paid plan. To request a refund, or to report a billing error, email contact@aiworksuite.com from your account email. Nothing in these Terms limits any refund or withdrawal rights you have under mandatory consumer law, for example in the EU and UK.
8. Our rights in the Services
The Services, including the software, design, trademarks and other content we provide (excluding your Input and Output), belong to ZQ Labs, Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your own personal or internal business purposes under these Terms. Except where the law allows it, you may not copy, modify, reverse engineer, or create derivative works of the Services or our trademarks.
9. Third-party services
The Services rely on third-party technology, including speech recognition and AI providers, payment processors, hosting and sign-in providers such as Amazon Web Services, Google and Apple, and content platforms such as YouTube. Their terms and policies apply to their services, and we are not responsible for them. If you ask us to transcribe a video from a third-party platform, you are responsible for complying with that platform’s terms and with the rights of the content owner.
10. Termination
You may stop using the Services at any time and may ask us to delete your account by emailing us. We may suspend or terminate your access if you breach these Terms, if required by law, if payment fails, or if your use creates risk for us or others. When your access ends, your right to use the Services ends. Data stored in your own browser stays there until you delete it. Sections that by their nature should survive termination will survive, including those on your content, payments owed, disclaimers, liability, indemnification and disputes.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR ANY TRANSCRIPT OR SUMMARY WILL BE ACCURATE, RELIABLE, UNINTERRUPTED OR ERROR-FREE. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you, and your statutory consumer rights are not affected.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, USE OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, INCLUDING ANY DECISION YOU MAKE BASED ON A TRANSCRIPT. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US$100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, gross negligence, wilful misconduct, or death or personal injury caused by negligence.
13. Indemnification
You agree to defend, indemnify and hold harmless ZQ Labs, Inc., its affiliates and their officers, employees and agents from claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of your Input or Output, your recording or transcribing of other people, your violation of these Terms or the law, or your violation of anyone’s rights.
14. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at contact@aiworksuite.com and give us 30 days to try to resolve the issue informally. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you and we consent to their jurisdiction. If you are a consumer in the EU, UK or another place where mandatory law gives you the right to bring claims in your local courts or to rely on local consumer protections, those rights are not affected.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page with a new “Last updated” date. If we make material changes, we will take reasonable steps to notify you, for example with a notice on the site or by email. Changes take effect when posted, and your continued use of the Services after that means you accept them. If you do not agree, stop using the Services and cancel any paid plan.
16. General
These Terms and our Privacy Policy are the entire agreement between you and us about the Services. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We may give notices to you by email or through the Services.
